1. The Cloud Management Agreement between Small Business Cloud Service For Enterprise (Pty) Ltd [SBCFE] and the Customer is strictly confidential in order to create and maintain the customer’s privacy and corporate image and identity.
  2. SBCFE subscription fees are payable monthly in advance and will be deducted by debit order only on the 1st working day of each month (unless otherwise agreed).
  3. All fees and charges are payable within 10 days of the invoice being issued. SBCFE reserves the right to cancel the services and domain(s) if payment has not been received within the agreed time.
  4. In the event of cancellation of service due to non-payment, the customer’s allocated services, domain names, telephone numbers etc from SBCFE may be allocated to another customer or cancelled.
  5. In the event of cancellation of service due to non-payment the Customer will be liable for the outstanding service charges for their allocated services up to date of cancellation of this agreement.
  6. SBCFE reserves the right to charge interest of 5% per month on charges not paid by the due date, and to charge R15 per telephone call chasing the unpaid fees and R98,50 per returned unpaid direct debit.
  7. When terminating the service the Customer agrees to give 1 (one) month written notice, which shall end at month end.
  8. If fees and charges remain unpaid and SBCFE has not been contacted by the Customer with instructions and no notice of termination has been given, SBCFE reserves the right to set off any outstanding fees and or charges against any deposits held by SBCFE.
  9. Unsatisfactory references may lead to the service being terminated without further notice.
  10. Receipt by SBCFE of a completed application form and the appropriate fees shall be deemed as acceptance of all these Terms and Conditions.
  11. SBCFE reserves the right to amend or alter its scale of fees upon reasonable notice
  12. The Client agrees with SBCFE not to carry on any business, which could be construed as illegal, defamatory, immoral or obscene.
  13. SBCFE reserves the right to terminate this agreement with any Customer whose activities they feel might adversely affect it or any of its other Customers.
  14. If the Customer changes the nature of its business, the customer must inform SBCFE in writing.
  15. As a services manager & cloud broker, SBCFE outsources technical provisioning of some services to third party companies. SBCFE liases on the customer’s behalf with these companies regarding any queries, and information SBCFE cannot immediately provide to the customer.   16. The liability of SBCFE to the Customer on account of or in respect of any loss or damage suffered by reason of a failure or delay in providing any service to the Customer shall be limited to R50.00
  17. In the event of upgrading your Cloud Management package, a set-up fee of the difference between your existing package and the new package will be applicable
  18. On cancellation of this agreement the Customers domain, website and email addresses, if hosted / managed by SBCFE, will be transferred to the customer on condition that all outstanding fees are paid. A web and email transfer fee of R 750.00 excluding VAT will be payable on cancellation of this agreement.
  19. The customer consents that SBCFE may transmit details to credit bureaus of how the customer and its company / close corporation have performed in meeting the obligations in terms of this agreement and in the event that the customer fails to meet its obligations may record its non-performance with the applicable credit bureau.
  20. The customer agrees to be bound by the terms and conditions of this agreement mutatis mutandis.
  21. The customer undertakes not to use any of the services until SBCFE has provided written acceptance and confirmation of the customer’s Cloud Management application.
  22. The customer  further agrees to test all services provisioned for it before printing any stationery, promotional material, and / or advertising material and the like.
